Terms of Service – Unived Wholesale Portal

Effective Date: 1st April 2025

Welcome to the Unived Wholesale Portal (“Site”), operated by Unived Healthcare Products Private Limited. This Site is intended exclusively for use by approved B2B and wholesale customers. By accessing or placing orders through this Site, you (“Client,” “You”) agree to be bound by the following Terms of Service (“Terms”).

Please read these Terms carefully before using the Site. If you do not agree to all of the Terms, you may not access the portal or place orders.

1. Eligibility & Account Registration

Access to the Unived Wholesale Portal is restricted to approved wholesale clients with a valid GST number and registered business.
All clients must complete the registration process and be approved by Unived before accessing pricing or placing orders.
You are responsible for maintaining the confidentiality of your login credentials and all activity under your account.

2. Product Information & Pricing

All products listed on this Site are intended for resale and/or professional distribution only.
Wholesale pricing is exclusive to registered and approved clients and is subject to change at Unived’s sole discretion without prior notice.
Prices listed are exclusive of GST and shipping unless otherwise specified.

3. Order Placement & Processing

All orders placed through this portal generate a Sales Order (SO). The SO is not a confirmed order until payment is received or credit terms (if any) are validated.
Inventory will be reserved upon SO creation for a validity period of 2 days (or as defined for specific clients). If payment is not made within this period, reservations may be released.
Unived reserves the right to reject or modify any order due to stock availability, errors, or non-compliance with terms.

4. Payment Terms

Orders are processed only upon full payment unless credit terms have been extended in writing.
Payment options include bank transfers or any other method listed on the checkout page.
Orders paid via credit are subject to individual credit limits and must be settled per the agreed timelines. Late payments may result in suspension of access.

5. Shipping & Delivery

Shipping costs are borne by the client unless otherwise agreed upon.
Estimated delivery timelines are provided but not guaranteed. Unived is not liable for delays due to courier or unforeseen circumstances.
Once dispatched, tracking information will be shared via the registered email or accessible through the portal.

6. Returns, Damages & Claims

Returns are not accepted unless a product is damaged in transit or there is a fulfillment error.
Any claims for damages or shortages must be reported within 48 hours of receiving the order, along with photographic evidence.
Approved claims will be processed via credit note or replacement at Unived’s discretion.

7. Use of Marketing Materials

Clients may access approved marketing assets via the portal. Use of Unived’s branding, trademarks, or promotional material must comply with brand guidelines and receive prior approval where required.
Resellers may not modify, repackage, or misrepresent Unived products or claims in any form.

8. Confidentiality

All wholesale prices, offers, policies, and product roadmaps shared through this portal are confidential and may not be disclosed to third parties.

9. Intellectual Property

All content, logos, trademarks, and product information are the exclusive property of Unived Healthcare and protected under applicable intellectual property laws.

10. Termination

Unived reserves the right to suspend or terminate your access to the portal at any time, without prior notice, if you violate these Terms, misuse the platform, or breach payment obligations.

11. Limitation of Liability

Unived shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use this Site, including delays in delivery, inventory fluctuations, or system errors.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai.

13. Changes to Terms

Unived reserves the right to update or modify these Terms at any time. Continued use of the portal after any such changes constitutes your acceptance of the new Terms.
